License Agreement for academic research use of the PLUG Word Aligner (PWA) -------------------------------------------------------- This agreement is made on ___________________, _________ between the undersigned Requestor _______________________________________________________________________ _______________________________________________________________________ ('the Licensee') and the Department of Linguistics at Uppsala University, Box 527, 752 10 Uppsala/Sweden and the Department of Computer and Information Science at Linköping University, 581 83 Linköping/Sweden ('the Proprietors'). WHEREAS * The Proprietors are the owners and proprietors of copyright and all ownership rights over PWA. * The Licensee is an academic research lab wishing to make use of PWA for non-commercial research purposes and/or academic education and the Proprietors have agreed to grant a license to the Licensee on the following terms and conditions. IT IS HEREBY AGREED AS FOLLOWS: 1. The following phrases shall throughout this agreement have the following meaning: 'PWA' refers to the PLUG Word Alignment System, including all its documentation, which was developed at the Department of Linguistics at Uppsala University and the Natural Language Group of the Department of Computer and Information Science at Linköping University - a set of modules for the automatic alignment of bilingual correspondences from parallel text including the PWA Scorer for automatic evaluation of alignment results and modules for the identification and extraction of word collocations. The modules are integrated in the Uplug toolbox for text corpus processing. 'Research Purpose means only those purposes associated with academic research and/or academic education, incorporating, using or based upon PWA or any copies of PWA, and excludes the development or commercial exploitation of any product or prototype product incorporating, using or based upon PWA or any parts of PWA. 2. The Proprietors grant the Licensee a non-exclusive and non-transferable license to use PWA for Research Purposes as defined above, upon all the terms and conditions contained in this agreement. 3. The Licensee undertakes to adopt any security measures needed to protect the Proprietors' copyright in PWA and undertakes to take all reasonable steps to ensure that no unauthorized use is made of PWA and of any copy thereof. 5. The Licensee agrees that no hardware, software or any other copy of PWA or of part of PWA shall be made for any purposes not expressly permitted by this agreement, nor shall the Licensee lend, hire, sell, distribute or otherwise part with PWA in any manner without the express prior consent in writing of the Proprietors and subject to any conditions imposed by the Proprietor. 6. The Licensee acknowledges that PWA is supplied "as is", without any accompanying services or improvements from the Proprietors. 7. The Proprietors make no warranty, express, or implied, as to the accuracy, capability, efficiency, merchantability, or functioning of PWA and its documentation. In no event will the Proprietors be liable for any general, consequential, indirect, incidental, exemplary or special damages, even if the Proprietors have been advised of the possibility of such damages. The Proprietors make no representations or warranties of merchantability or fitness for any particular purpose or that the use of the licensed software components or documentation will not infringe any patents, copyrights, trademarks or other rights. 8. Title to copyright of PWA and to any associated documentation shall at all times remain with the Proprietors, and the Licensee agrees to preserve same. 9. If the Licensee, or any authorized user at the Licensee's site, publishes any work to which PWA has contributed directly or indirectly, The Licensee shall acknowledge PWA by name in the publication. 10. This agreement shall be construed and interpreted in accordance with the laws of Sweden. The parties to this agreement shall try to come to an amicable settlement of controversies or disputes arising out if this agreement or about its validity. Should they fail to settle them amicably, the dispute shall be settled by arbitration in accordance with the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce then prevailing. The proceedings shall take place in Stockholm, Sweden, and the number of arbitrators shall be one (1). 11. Should the Licensee by itself or anyone acting on its behalf wilfully fail to comply with any of the conditions in this agreement (save with the written consent of the Proprietors) this agreement shall terminate after 1 month's notice in writing from the Proprietors. Upon termination of this agreement the Licensee shall destroy all copies of PWA or portions thereof that the Licensee has been using. 12. Failure by the Proprietors to exercise or enforce any rights in this agreement shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof. 13. This agreement is the entire agreement between the parties and it supersedes any prior oral or written agreements or understandings.
